Dear Members

Over the last 12 months the Board of Directors has gone through a thorough process of reviewing the Club’s Rules or Constitution as its also known. With recent changes in the Incorporated Associations Act, it is important for our Club to review its Rules to ensure that we continue to operate under a modern and compliant constitution.

In doing this review the Club engaged a Constitutional Review Working Group consisting of the following people from within the Club:

  • Bruce Weston (Corporate Member and President) 
  • Andrew Stocks (Corporate Member and Director)
  • Dave Newman (5 Day member and Veterans Captain)
  • Debbie Mackenroth (5 Day member and Veterans Treasurer – also a previous Club Director)
  • Scott Wagstaff (General Manager) 

The Club also engaged the CPR Group – Golf Australia appointed sports governance consultants to assist the Club with the significant task of this review. 

Recently the Working Group completed its review and provided a recommendation to the Board of Directors. The Board subsequently approved this recommendation which includes the following:

Significant Proposed Changes

When reviewing the proposed changes members will note that there are 2 areas that are significant in the proposed changes that have been discussed at length within this review. They are:

Voting Rights – categories of members eligible to vote 

Board eligibility – categories of members eligible to hold a position on the Board of Directors. 

The proposed Constitution will see the following categories considered full members and therefore eligible to vote and be a Board member.

7 Day, Corporate, Life, 6 Day*, 5 Day*

* these categories are not eligible under the current Constitution.

What happens from here?

The Board of Directors understands that these documents are vital to the way in which our Club functions and they now would like to seek feedback from the members. This engagement process will take place over the next month and then a final set of documents will be issued prior to the Club’s Annual General Meeting where a vote to adopt the final version of the Constitution will be conducted. 

Importantly the By-Laws are controlled and amended by the Board of Directors however for transparency these have been provided as they work together with the Constitution. The Covering Note explains all of the signficant changes to the current Constitution and reasons for the proposed changes.  

The engagement process includes:

  • A member feedback survey – members can share their comments easily through this link

Annual General Meeting | Tuesday 12 December 

Members eligible to vote (7 day, Corporate and Life) will be asked to vote on the motion to adopt the final version of the Constitution at the Annual General Meeting held on Tuesday 12 December from 7pm. Importantly this will only be a vote and members wishing to provide feedback are encourage to do so by either completing the survey or attending the information session on Thursday 2 November and asking questions. Members who can’t attend the information session in person and who have a question should complete the survey and we will ensure that their question is answered. 

The Vote – A vote in the affirmative consisting of at least 75% of the votes is required to adopt the new Constitution. 


Closing Comments 

The Board of Directors and the Working Group have spent a signifcant amount of time on this review with the assistance of industry experts in the CPR Group. The proposed changes have been endorsed as it is the opinion that they are for the betterment of the Carbrook Golf Club, not only now but well into the future.
